Terms of Service

1. Acceptance and the agreement

These Terms form a binding agreement between you and Merkel Digital Ltd. governing your use of HEIC Convert Free at heicconvertfree.com. By using the service you agree to them, together with the Acceptable Use Policy, Privacy Policy, Cookie Policy and Refund Policy, each incorporated by reference. If you do not agree, do not use the service. If you accept on behalf of an organisation, you confirm you are authorised to bind it.

2. Eligibility

You must be at least 16 years old, or older if your jurisdiction requires it, and able to form a binding contract. You must not be located in, or ordinarily resident in, a country subject to comprehensive trade sanctions, and you must not be on any restricted-party list.

3. Accounts

You must provide accurate registration details, keep your credentials secure, and are responsible for all activity under your account. Accounts are for a single person; sharing credentials at commercial scale is prohibited. Tell us promptly at info@heicconvertfree.com if you suspect unauthorised access.

4. The service

HEIC Convert Free converts HEIC and HEIF images to JPG or PNG. Conversion runs in your browser on your own device using JavaScript and WebAssembly. We do not receive, store or inspect your image contents, and there is no server-side conversion fallback.

5. Your files and your content

You retain all rights in your files. We claim no licence over them because we never receive them. You confirm you own or are authorised to process every file you convert and that doing so does not infringe any third party's rights or applicable law.

6. Acceptable use

You must comply with the Acceptable Use Policy, which forms part of these Terms. You must not reverse engineer, decompile, resell, sublicense, frame, scrape at scale, circumvent plan limits or security controls, run automated load against the service, or use it to build a competing product.

7. Limitations of conversion

Conversion depends on your device, available memory and browser capabilities. Some HEIF variants, damaged files, encrypted files and very large images may fail. Output is provided as-is and may differ from the original in colour profile, metadata or file size. Always keep your originals; the service is not a backup or archival product.

8. Plans, subscriptions, trial and renewal

A free tier is available with the limits shown on the Pricing page. Pro is a recurring subscription at $4.99 per month, or a one-time lifetime licence at $29, plus applicable taxes. A 7-day trial requires a valid payment method: $0 is charged today and the subscription begins automatically at the end of the trial unless cancelled beforehand. Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time through the billing portal; access continues to the end of the paid period. Plan limits may be adjusted with reasonable notice, and we will not reduce limits during a period you have already paid for.

9. Refunds, taxes, price changes and failed payments

Refunds are handled under the Refund Policy and do not limit your statutory consumer rights. Prices are exclusive of taxes unless stated; applicable taxes are calculated at checkout. We will give at least 30 days' notice of price changes affecting your renewals, and you may cancel before the change takes effect. If a payment fails, we may retry and may suspend Pro features until payment succeeds.

10. Payment processing

Payments are handled by Stripe under its own terms. We do not receive or store your card details. You authorise Stripe to charge your payment method for amounts due, including renewals, until you cancel.

11. Intellectual property and open source

The service, its branding, content and code are owned by Merkel Digital Ltd. or its licensors and are protected by intellectual property law. Subject to these Terms we grant you a limited, revocable, non-exclusive, non-transferable licence to use the service for its intended purpose. The service includes third-party open-source components listed on the Open Source page and used under their respective licences, which prevail over these Terms for those components.

12. Feedback

If you send suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation or compensation. Do not send anything you consider confidential.

13. Third-party links and services

The service may link to third-party sites and rely on third-party providers. We do not control them, do not endorse them, and are not responsible for their content, terms or practices.

14. Availability, changes and beta features

We aim to keep the service available but do not guarantee uninterrupted or error-free operation, and we may perform maintenance, modify or discontinue features. Where we discontinue a paid feature materially, we will provide a pro-rata refund for the unused paid period. Features labelled beta or experimental are provided without any warranty or support commitment and may change or be withdrawn at any time.

15. Suspension and termination

We may suspend or terminate access immediately for breach of these Terms or the Acceptable Use Policy, for suspected fraud or payment abuse, or where required by law. You may stop using the service or delete your account at any time. On termination, your right to use the service ends; sections that by their nature should survive do survive, including sections 5, 11, 12, 16, 17, 18, 19 and 22.

16. Disclaimer of warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the service will be uninterrupted, secure or error-free. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you, and nothing here excludes non-excludable consumer guarantees.

17. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, however caused. Our aggregate liability arising out of or relating to the service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

18. Indemnity

You will indemnify and hold harmless Merkel Digital Ltd. and its officers, employees and agents from claims, damages, liabilities and reasonable legal costs arising from your use of the service in breach of these Terms, your content, or your violation of law or third-party rights. This section does not apply to consumers where prohibited by local law.

19. Governing law and disputes

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-laws rules and without limiting mandatory consumer protections available where you live. The courts of British Columbia, Canada have jurisdiction, except that consumers may also bring proceedings in their country of residence where local law provides that right.

Before starting formal proceedings, please contact info@heicconvertfree.com so we can try to resolve the matter informally within 30 days. Where binding arbitration applies to you by agreement or law, the seat is Vancouver, British Columbia, proceedings are on an individual basis, and class or representative actions are waived to the extent permitted by law. This waiver does not apply where it is unenforceable, and it does not prevent either party from bringing an individual claim in small-claims court.

20. Export controls and sanctions

You must comply with applicable export control and sanctions laws and must not use the service in violation of them.

21. Notices and electronic communications

You consent to receive contractual notices electronically at the email address on your account or by in-app notice. Notices to us go to info@heicconvertfree.com and Merkel Digital Ltd., 1771 Robson Street – 1139, Vancouver, BC V6G 3B7, Canada.

22. General

These Terms, with the policies incorporated, are the entire agreement between us and supersede prior discussions. If a provision is held unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or asset sale. Neither party is liable for delay or failure caused by events beyond its reasonable control. Nothing creates a partnership, agency or employment relationship. There are no third-party beneficiaries.

23. Changes and contact

We may update these Terms and will revise the version above. Material changes take effect at least 14 days after notice, except where a change is required by law or applies to a new feature. Continued use after that date is acceptance. Contact: info@heicconvertfree.com.
